  2. Financial contracting theory relevant for companies raising capital through common stock offerings, corporate debt offerings, preferred stock offerings, and the issuance of convertible securities.
  3. Application of finance principles to various corporate legal settings, including M&A, appraisal disputes, and fiduciary duty litigation.
  4. Contractual solutions employed to deal with the various conflicts and ambiguities that arise due to corporate finance transactions.
  5. How to work with spreadsheets to implement financial provisions contained in corporate finance transaction documents.

Additionally, the text covers a broad range of related topics such as venture capital, inter-creditor disputes, poison pill defenses, and activist shareholder recapitalizations.
