This book provides a comprehensive overview of blockchain-enabled markets, cryptoassets, financial technology firms, cryptoasset trading platforms, the incorporation of this technology in conventional finance operations, and ongoing regulatory reforms, including legislative initiatives. This new edition covers the underlying financial regulation and the recent changes in cryptoasset regulation.

Because the technology behind digital markets and legal reaction to cryptoassets are evolving rapidly, it is impossible to create a traditional casebook that focuses solely on settled judicial opinions to illustrate relevant legal issues and rules in one area. These materials, therefore, provide an introduction to administrative law, securities law, payment regulations, derivatives trading and oversight, and relevant financial institutions and cryptoasset trading platforms. The book examines statutes, rules, and regulatory structures that predate the advent of crypto, along with the mission and informational statements issued by the agencies most closely involved in the regulation of cryptoassets and markets in the United States. In addition to these fundamentals, the materials provide a detailed review of recent administrative and judicial decisions concerning crypto-related issues and fintech firms, as well as a range of other materials, including pleadings, briefs, agency guidelines, proposed regulations, and academic commentary. The book focuses on U.S. federal law and briefly introduces state law, including changes in state business organizations law.
