Learning Sales Law provides comprehensive coverage of UCC Articles 1 and 2 and uses active learning methodology throughout the book to help students develop the skills of reading, understanding, and applying Code language as they learn the course material. The new 3rd Edition covers the changes made by the 2022 amendments (which have been enacted by nearly 60% of jurisdictions) while retaining coverage of the pre-2022 version, so that students can understand both old and new case law and be prepared to practice in jurisdictions with either version. The 3rd Edition retains most of the material from the previous edition, while updating cases, text, and problems to include recent legal developments and current examples.

The book is divided into chapters focused on broad aspects of sales law (e.g., definitions and foundational concepts in the code, contract formation and terms, warranties, performance issues, remedies). Each chapter is further divided into “Assignments” focused on sub-topics and an identified set of sections from Articles 1 and 2. The last two Assignments cover Article 2A and the UN Convention on Contracts for the International Sale of Goods (CISG), providing a compact introduction to these sources of law by comparing them to what students have already learned about Articles 1 and 2.

The 3rd Edition continues with the structure and teaching methods of the first two editions, taking full advantage of active learning techniques:

  • Consistent with other textbooks in West’s Learning series, the book draws upon current learning theory and practice by articulating “Key Concepts” for each Chapter and identifying “Learning Outcomes and Objectives” for each Assignment.
  • “Reading the Code” questions for each set of statutory provisions guide students to learn the UCC by actively reading and analyzing Code language themselves, rather than relying more passively on what others (judges and commentators) have said about the Code.
  • “Examples and Analysis” entries provide brief case summaries showing how courts have applied each set of Code provisions and allow students to see the provisions in action.
  • Judicial opinions appear only where they are important for conveying analytic approaches. They are accompanied by questions about the case, to help focus students’ reading and class preparation.
  • “Applying the Code” problems appear at the end of each section or Assignment, allowing students to assess and integrate their understanding of the preceding material.
  • Students enjoy the book’s focus on problem-solving and can see their skills of reading and interpreting the Code improve as they engage with the questions, examples, and problems.
The authors are experienced teachers of Sales and Contracts who have developed and refined the materials to reflect their own active engagement of students.
