Changes in this edition include the following:

• All cases have been reviewed for eliminating where it exists issues and discussion extraneous to the issues presented; as a result, most cases have been shortened and many substantially with the effect of enhancing their use in the classroom
• The materials on LLCs have been substantially expanded to reflect the much the broadening body of law of LLCs
• Cases and note materials in both partnership and LLC materials have been added bearing on limits of private ordering with close attention to the evolving meaning of good faith and scope of the implied covenant of good faith and fair dealing
• Significant cases (e.g., Brinckerhoff, Gerber, RBC Capital Markets, Halliburton II, Salman, Volcano Corp., C&J Energy, and Corwin) and excerpts of articles dealing with cutting-edge issues have been included in all subject areas
