This Tenth Edition of Corporate Finance updates old topics, notes various market developments, and deletes some peripheral material. The most notable additions come in respect of debtor-creditor relationships, in particular the creditor-on-creditor violence endemic in restructurings. The fact pattern shows up in multiple chapters. There is also a major addition to the merger materials in respect of special purpose acquisition corporations.

This Edition’s Appendix contains two contract forms—the General Technology Note Purchase Agreement and the General Technology Series A Preferred Stock, Certificate of Designations. The book’s text references additional student practice documents, all of which will be posted and available here later this spring.
